Intellectual property
All content on this website — including but not limited to text, designs, graphics, logos, icons, source code, images, and the KodePull brand — is the property of KODEPULL SRL and is protected under Law No. 65-00 on Copyright of the Dominican Republic. Unauthorized reproduction, distribution, modification, or use of any site material without prior written consent is prohibited. Regarding client projects, intellectual property ownership of deliverables shall be governed by the terms of the applicable service contract, in accordance with Article 14 of Law 65-00. KodePull retains all rights to its pre-existing tools, methodologies, libraries, and know-how developed independently.
Limitation of liability
To the maximum extent permitted by the laws of the Dominican Republic, KodePull's total liability for any claim arising from these Terms or the use of the website shall not exceed the total fees paid by the client under the applicable service agreement. KodePull shall not be liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, data loss, or business interruption. This limitation does not apply in cases of gross negligence or willful misconduct by KodePull, in accordance with Articles 1134 and 1151 of the Dominican Civil Code. The website is provided "as is" without warranties of any kind regarding its uninterrupted availability.
Termination
KodePull reserves the right to restrict or suspend access to this website at any time and without prior notice, for any justified reason. Regarding contracted professional services, termination conditions shall be governed by the specific service contract between the parties. In the absence of a specific contract, either party may terminate the service relationship by providing written notice at least thirty (30) days in advance. Termination shall not affect payment obligations for services already rendered or confidentiality obligations, which shall survive termination.
Governing law and jurisdiction
These Terms are governed by and construed in accordance with the laws of the Dominican Republic, including Law No. 544-14 on Private International Law. Any dispute or claim arising from or related to these Terms shall be resolved as follows: first, the parties shall attempt to resolve the dispute in good faith through direct negotiation for a period of thirty (30) days. If negotiation does not result in a satisfactory resolution, the parties submit to the exclusive jurisdiction of the courts of the National District, Santo Domingo, Dominican Republic. The parties may also agree to submit the dispute to arbitration under Law No. 489-08 on Commercial Arbitration, administered by the Alternative Dispute Resolution Center (CRC) of the Chamber of Commerce and Production of Santo Domingo.
Modifications
KodePull reserves the right to modify these Terms at any time. Changes will take effect upon publication on this website. The date of the last update will be indicated at the top of this page. Continued use of the website or our services after the publication of changes constitutes your acceptance of the modified Terms. For substantial changes, we will make reasonable efforts to notify registered users or active clients.
